Roastonic for Business terms of supply

Items in [brackets] are filled in from admin Settings before launch. A lawyer or CA should review this text once.
These terms apply between [legal name] ("Roastonic") and the business that holds a Roastonic for Business account ("you"). Your quote, price list and credit limit, as confirmed by email, form part of them. You accept these terms when your business account opens.
Your account
- Accounts open after we approve your application and agree prices with you.
- You can add people from your business to the account. You're responsible for orders they place and for telling us when someone leaves.
- Sign-in is by a one-time code sent to each person's work email. Don't share codes.
Prices and orders
- Your agreed prices are shown in your account and include GST. We'll give you at least 15 days' notice by email of any price change. Orders placed before the change keep the old price.
- Minimum order: 2 kg, unless your quote says otherwise.
- An order is accepted when we confirm it. Standing orders repeat automatically. Change, skip or pause one at least 2 working days before its delivery day.
- Coffee is packed to order from our bulk stock, in the grinds we stock. Each bag shows the packed-on date and batch number.
Delivery
We deliver on the day agreed in your quote, or on the next working day if that isn't possible, and tell you in advance. The coffee becomes yours, and the risk passes to you, when it's delivered. Check deliveries on arrival and report any shortage, damage or wrong item within 48 hours. We'll replace it or credit your account.
Payment and credit
- Your first two orders are paid in advance.
- After that, we may offer 15 or 30 days' credit up to an agreed limit, counted from the invoice date.
- Every order gets a GST tax invoice with your GSTIN and PO number, available in your account.
- If an invoice is overdue, or an order would take you over your credit limit, we may hold new orders until it's paid. We send reminders before and after the due date.
Resellers
If you resell our retail bags, sell them sealed and at or below the printed MRP. Don't repack them or change the label. Keep stock cool, dry and out of sunlight, and don't sell bags past their best-before date. You may use our name and photos to list the bags you sell, but nothing else without our written permission.
Corporate gifting
- Gift orders need 50% of the value in advance, and the rest before dispatch.
- We need your artwork and recipient list by the agreed date, at least 3 weeks before delivery (4 weeks for printed sleeves).
- You can cancel free of charge before printing starts. After that, printing costs aren't refundable.
- For delivery to a list of homes, you're responsible for having each recipient's agreement to share their address with us.
Ending the account
Either of us can close the account with 30 days' written notice. Unpaid invoices stay due. We may close an account straight away if invoices stay unpaid for 30 days after their due date or if these terms are seriously broken.
Liability and disputes
Our liability for any order is limited to its invoice value. We're not liable for lost profits or indirect loss. These terms are governed by Indian law and courts in [city] have jurisdiction.
